This mid size Orlando office maintains a full service civil law practice. The is organized into the following areas: litigation, health law, communications and media, employment and labor, tax, personal planning and employee benefits, securities and public offering, real estate, and business and corporate office. Corporate Paralegal The candidate handles all aspects of the formation of entities, including preparing articles of incorporation/organization, bylaws, operating agreements, shareholders agreements, and other governing documents, stock/membership certificates, S corp elections, SS-4 forms, and related documents, and maintains corporate record books. Prepares Board/Shareholder/Member resolutions, minutes of meetings and other records of corporate proceedings. Coordinates the filing of corporate and other documents with governmental agencies. Assists with the preparation of legal documents such as commercial contracts, stock and asset purchase agreements, transactional documents for mergers and acquisitions, assignments, bills of sale, stock transfer documents, closing certificates and other closing documents for attorney review and approval, and use in transactions. Assists in coordinating closings including preparing closing critical dates memoranda, closing checklists, and closing documents, coordinating the delivery and execution of documents, and preparing closing binders. Handles our corporate maintenance program, including preparing annual board and shareholders resolutions, coordinating filing of annual reports and similar activities. Prepares audit letter responses, including the coordination and completion of attorney responses. Conducts UCC, lien, judgment, pending suit, bankruptcy and other due diligence searches with, and orders corporate documents from, various county and state offices. Performs due diligence reviews in connection with transactions, including reviewing contracts and results of due diligence searches. Interacts with clients on a regular basis regarding various legal matters. Supports the securities practice and is involved in public and private securities offerings and securities compliance matters, including preparing Form IDs and Form Ds, as well as assisting with the preparation of Form 8-Ks, committee resolutions, and other corporate governance matters. Oversees practice area form files. The candidate should have high School diploma or general education degree (GED). Should have experience with and an ability to use Microsoft Office software, including Word and Excel; A comprehensive knowledge of corporate transactions; Excellent attention to detail and strong organizational and communication skills. Strong writing and editing skill is essential. Must have 7+ years of experience. A Paralegal certificate is preferred
