Senior corporate paralegal Responsibilities: Provides full legal transaction support to corporate attorneys and clients as assigned. Interacts directly with clients and works to effectively and efficiently meet their business needs. All work performed is ultimately reviewed under the supervision of a practicing attorney. Senior Corporate Paralegals must be able to provide guidance and support to less-experienced paralegals. Interact with clients to respond to questions and needs. Prepare and maintain capitalization charts and related ledgers. Prepare and respond to due diligence requests. Prepare and organize documents related to corporate financings and other corporate transactions. Prepare and file corporate documents such as articles of incorporation, articles of organization, amendments, etc. Set up and maintain corporate record books as necessary. Monitor and communicate required filing/activity dates such as annual meetings and qualified business renewals for clients and work with assigned paralegal to schedule client meetings. Draft complex legal documents as necessary. Inform attorneys of key dates and issues requiring their attention with a particular client. Coordinate closings and prepare closing binders. Assist with special projects and other assignments as requested by the partners and associate attorneys. Perform legal research using a variety of resources as required. Serve as a resource to other paralegals. Assist the firm in developing tools and resources that will increase effectiveness and efficiency. Maintain comprehensive knowledge of corporate practice area and share learning. Direct the work of the Corporate Paralegal-Level One position as necessary to meet client needs. Other duties and projects may be assigned to the role, which provide general assistance as needed to the firm. Qualifications: A four-year college degree or paralegal certification from an ABA-approved program or equivalent experience as a practicing paralegal in a law firm environment. 3+ years of experience with the firm in a Corporate Paralegal role and 5+ years of overall experience in a corporate law firm environment. Experience in a corporate law firm environment with comprehensive knowledge of transactions such as mergers & acquisitions, venture capital financings, due diligence and closings. Ability to work independently and to assess clients needs in order to effectively liaise between clients and attorneys. Working knowledge of computer software including word processing, spreadsheet, document management and email/scheduling. Strong math aptitude and ability to develop capitalization charts/spreadsheets. Strong interpersonal and communication skills, both written and verbal, with a high degree of confidentiality, professionalism and discretion. Ability to work overtime as necessary. A strong degree of personal initiative, motivation and positive attitude. Effective at problem-solving and planning. Able to handle multiple assignments with minimal supervision and appropriate prioritization. Preferred Qualifications: Certification from an ABA-approved paralegal program or Certified Legal Assistant qualification. Ability to develop materials using computer software. Ability to communicate via phone, personal contact and computer. Ability to drive a vehicle as necessary to conduct company business and attend events.
