Finance Paralegal Chapman and Cutler LLP is looking for an experienced and motivated Finance Paralegal to join its finance-focused practice in San Francisco. The successful candidate will have the opportunity to work with a diverse group of clients, attorneys and staff, and be responsible for handling a variety of projects intended to assist attorneys in negotiating and closing a variety of financial transactions. **Qualifications and Responsibilities** - Bachelor's degree - Interest in financial transactions and strong interpersonal, analytical, research and writing skills - Commitment to client service - Attention to detail (as evidenced by excellent grammar, spelling, typing, and proofreading) and the ability to work independently - Professional presence, flexibility in work situations, and willingness to accept constructive feedback - Ability to work well under pressure while managing deadlines and multiple projects - Facility with Excel, Word and other document management programs is a plus - Committed to following all Firm policies and information security protocols **Primary Duties and Responsibilities** - Drafting and maintaining a closing checklist - Ordering and reviewing corporate records, title, lien and litigation searches and summarizing findings for review by attorneys - Distributing, receiving, reviewing, and inventorying drafts of transaction documents and other due diligence materials - Drafting basic closing documents such as resolutions, closing certificates, etc. and first drafts of primary transaction documents - Reviewing contracts and other materials and summarizing findings on specific questions - Preparing and distributing signature pages and closing sets - Drafting and filing UCC financing statements - Research in document management systems and online to find precedent documents, reports, legal memos, legislative materials, etc. - Set up, organize, and maintain materials in online data rooms and databases - Effectively communicate findings to and follow instructions from a diverse group of clients, attorneys and staff and provide information in person or by phone with courtesy and tact - Establish positive working relationships with coworkers; show initiative in seeking additional tasks to maintain steady workload **Compensation** The successful candidate will be offered a competitive salary commensurate with experience and qualifications, as well as a comprehensive benefits package. **Application** To apply, please submit a cover letter and resume.
