Corporate Paralegal - [Minneapolis, MN] Fredrikson & Byron, a leading Midwest law firm, is seeking a Paralegal to join the Corporate & Securities department in our Minneapolis office. Candidates must demonstrate experience in corporate law, mergers and acquisitions, and financing/credit transactions. Specific corporate experience should include entity formation, dissolution, conversion, merger, issuance and transfer of stock/membership units, foreign qualifications, and state and local business registrations. M&A experience (both buy and sell-side) should include an understanding of deal structure, UCC, due diligence organization (including virtual data rooms), drafting ancillary closing documents and corporate resolutions, closing preparation, and closing books. The working environment is a small team of paralegal professionals who make a significant contribution to larger teams. They are proficient, knowledgeable, detail-oriented and reliable. They understand our clients and know what needs to be done and why, which is more than just knowing how. Candidates should have at least 5 years of law firm or in-house experience with mergers, acquisitions, and corporate law. Ideal candidates will have exceptional organizational skills, the ability to work independently, manage multiple projects, and work effectively under pressure.
