Corporate Paralegal Duties: Identify and solicit necessary information from clients to draft entity formation documents and prepare necessary documents for the formation of new and amendment (or dissolution) of existing entities. Prepare and maintain entity minute book, order corporate seal, prepare stock certificates and maintain ownership ledgers. Prepare, send and tally annual proxies, draft proxy statements and prepare and file appropriate business tax registrations with the IRS. Conduct UCC and other lien searches and draft and file UCC financing statements and other lien filings. Draft miscellaneous documents and complete other tasks associated with the life cycle of an entity. The candidate must have excellent organizational skills and an ability to work independently. Strong interpersonal skills; ability to develop effective working relationships with all levels of personnel; strong client-service orientation and focus; excellent communications skills; creative problem solving skills; and exceptional attention to detail skills. Must be highly self-motivated and directed and be able to work effectively and efficiently in high pressure, time sensitive situations. Must have formal paralegal training from an accredited program, preferably a four-year degree program and/or at least seven plus years working as a business paralegal in a law firm or corporation. Proficiency in the Microsoft Office Suite is required as well as the ability to conduct legal research.
