Real Estate Attorney - Private Equity The candidate should have Juris Doctor or Master of Laws degree, or foreign equivalent. Must have 3 years of experience as an attorney representing private equity firms or other large sponsors in connection with complex multi-state and/or int'l corporate real estate transactions, incl acquisitions, dispositions and borrower-side financings and refinancing. Experience must include: coordinate and performing diligence review and corporate, structuring for large commercial real estate transactions; review and identification of title insurance, surveys and zoning in connection with both due diligence as well as issuance in connection with real estate acquisitions, financings and refinancing; negotiating ancillary financial and corporate, real estate transaction documents, including access and confidentiality agreements, ancillary mortgage financing documents such as deed of trusts/mortgages, promissory notes and environmental indemnities; and preparing initial drafts of primary transaction documents for acquisitions, including purchase agreements and equity purchase agreements, and preparing related issues lists. Must be licensed to practice law in NY.
