Corporate Attorney The candidate' will work well remotely in a tight-knit team of inter-disciplinary lawyers and communicate effectively with clients (calls, video conferencing, and emails). Will be tasked with structuring, negotiating, and drafting, as applicable, the following types of agreements/documents/transactions, among others. Financings, including debt, equity, and convertible security (convertible notes, S.A.F.E.) financings Operating Agreements/Joint Venture Agreements; Completing entity formation from start to finish; Employment and Consulting Agreements;Commercial Contracts, including licensing agreements, master services agreements, and SaaS agreements; Employee incentive plans/option agreementsManaging clients minute books and maintaining their capitalization tables; Privacy policies and terms of service. Must have 2+ years experience practicing transaction law and be licensed to practice law in California. Corporate background working with startups or emerging growth companies preferred. California Bar (or Bar pending with 4 years experience practicing corporate or business law in another jurisdiction).
