Title : Corporate Paralegal

Corporate Paralegal Duties: Handle company formations, financing and maintenance. Manage full-range of corporate records, stock option plan implementation and administration. Assist on venture capital financings, securities filings, mergers, acquisitions and general corporate projects. Provide assistance in various financing transactions for public, nonprofit, and affordable housing projects from inception to closing. Assist in drafting and reviewing routine legal documents, including closing certificates, resolutions, and pre and post-closing filings. Act as liaison with the client and any outside entities such as government agencies, corporations, vendors and other law firms to facilitate the transaction. Reviewing edits of legal documents. Draft closing checklists. Assist with deal closings, including pre-closing preparation, assisting in managing the pre-closing and closing, including review, assembly and distribution of executed documents to the transaction parties and compliance with closing requirements. Assist with organizing and performing due diligence review. Perform various administrative tasks, as required. Qualifications: Bachelor's Degree and/or Paralegal Certificate for an ABA-approved program, required. 3+ years corporate and transactional experience at a national or international law firm. Excellent written and verbal communication skills. Outstanding research and organizational skills. Ability to manage multiple projects, assess deadlines and set priorities in order to meet deadlines. Must be detailed oriented. Ability to work overtime, when needed. Proficiency in MS Office (Word, Excel, Outlook). Experience in legal entity management software (i.e., Athennian, Corporate Focus). Experience in recording real estate documents and UCC filings is a plus.
