Part-time Junior Corporate / Securities Attorney The candidate will be tasked with the following: Incorporations/company formations. Financings, including debt, equity and convertible security (convertible notes, S.A.F.E.S.) financings. Operating Agreements/Joint Venture Agreements. Employment and Consulting Agreements. Commercial Contracts, including licensing agreements, master services agreements and SaaS agreements. Employee incentive plans/option agreements. Managing clients minute books and maintaining their capitalization tables. Privacy policies and terms of service. Licensing Agreements. Mergers & Acquisitions. Limited Partnership Agreements. Active member of the California State Bar preferred. Hours per week: 20-29.
