Senior corporate paralegal The candidate will be responsible to provide full legal transaction support to corporate attorneys and Clients as assigned. Interact directly with clients and works to effectively and efficiently meet their business needs. Provide guidance and support to less-experienced paralegals. Interact with clients to respond to questions and needs. Prepare and maintain capitalization charts and related ledgers. Prepare and respond to due diligence requests. Prepare and organize documents related to corporate financings and other corporate transactions. Prepare and file corporate documents such as articles of incorporation, articles of organization, amendments, etc. Set up and maintain corporate record books as necessary. Monitor and communicate required filing/activity dates such as annual meetings and qualified business renewals for clients and work with assigned paralegal to schedule client meetings as necessary. Draft complex legal documents as necessary. Inform attorneys of key dates and issues requiring their attention with a particular client. Coordinate closings and prepare closing binders. Assist with special projects and other assignments as requested by the partners and associate attorneys. Perform legal research using a variety of resources as required. Assist the firm in developing tools and resources that will increase effectiveness and efficiency. Maintain comprehensive knowledge of corporate practice area and share learning as appropriate. Direct the work of the Corporate Paralegal-Level One position as necessary to meet client needs. Other duties and projects may be assigned to the role, which provide general assistance as needed to the firm. The candidate must have a 4 years college degree or paralegal certification from an ABA-approved program or equivalent. Experience as a practicing paralegal in a law firm environment is essential. At least 3 years of experience with the firm in a Corporate Paralegal role and at least 5 years of overall experience in a corporate law firm environment are required. Experience in a corporate law firm environment with comprehensive knowledge of transactions such as mergers & acquisitions, venture capital financing, due diligence and closings is necessary. Ability to work independently and to assess clients needs in order to effectively liaise between clients and attorneys is critical. Working knowledge of computer software including word processing, spreadsheet, document management and email/scheduling is needed. Strong math aptitude and ability to develop capitalization charts/spreadsheets is necessary. Strong interpersonal and communication skills, both written and verbal, with a high degree of confidentiality, professionalism and discretion are must. A strong degree of personal initiative, motivation and positive attitude is needed. Must be effective at problem-solving and planning. Should be able to handle multiple assignments with minimal supervision and appropriate prioritization. Certification from an ABA-approved paralegal program or Certified Legal Assistant qualification is preferred.
