Public Finance Paralegal The candidate will provide direct assistance to department attorneys in performing due diligence for transactions, prepare transaction and corporate formation documents in connection with public and private securities offerings, prepare closing documents and transcripts and coordinate all aspects of a closing of a financing. Prepare first drafts of basic documents, including resolutions, trust indentures, offering documents and closing documents and opinions, and make revisions to primary documents. Perform due diligence to collect and verify information and data contained in the offering document, including review of financial statements of public entities and statistical data. Coordinate the distribution of documents to clients and other interested parties. Coordinate the printing of the offering document and various filings with the SEC and state securities regulators. Develop and maintain databases of related offerings. Coordinate closing. Prepare closing transcripts. Handle routine correspondence and client inquiries. Must have Bachelor's degree or paralegal certificate from an ABA approved institution are preferred for this entry-level position. Knowledge and use of Microsoft Office suite of products are required. Ability to examine, evaluate and summarize large quantities of information with respect to public financings, including numerical data are required. Ability to review and understand at a rudimentary level (initially with some guidance), basic financial statements of governmental entities and existing securities offering documents and incorporate such information into an offering document are required. Ability to perform simple mathematical computations and analyze for inclusion in offering documents are required. Ability to work unsupervised and meet multiple demands and work as part of a team are required. Excellent verbal and written communication skills are necessary are required. Ability to coordinate with multiple parties in connection with closing a financing are required. Must be a self-starter with a strong work ethic and willingness to assume ownership of certain tasks in the transactions are required.
