The San Francisco office of this mid-size firm is engaged primarily in litigation and general business, although the firm boasts a solid regulatory and administrative law practice and a respectable labor/employment practice. The firm has a strong pro bono commitment; associates receive full billable hour credit for approved pro bono work and, overall, pro bono comprises 3-5% of all work. The billable hour target is 1850 and salaries are approximately 20% below market.
Corporate Paralegal The candidate will support the Merger & Acquisitions and Corporate Transactions practice group in the Business and Finance department. Will prepare, draft, and file formation documents, corporate resolutions and annual reports. Corporate book maintenance, including stock issuance and cap table maintenance. Prepare, draft and file aspects of government, securities and regulatory filings. Prepare, search, and file UCC's. Support all aspects of M&A transactions and other corporate development transactions, including due diligence, document preparation, closing mechanics and post-closing administration. Document retrieval, business research, and corporate document filing. Assist with private placement, venture capital, and public offerings. Other responsibilities as client needs dictate. The candidate should have a Bachelor's degree and paralegal certificate or appropriate job-related experience. Must have 3+ years of experience as a corporate paralegal. Experience with corporate formation procedures, foreign qualifications and corporate maintenance is required. Experience in assisting with business transactions, including sales, mergers, acquisitions, and stock offerings is needed. Should also have experience with securities and regulatory filings. Exceptional drafting, proof-reading and communication skills required. Advanced knowledge of electronic legal research tools essential.
