Paralegal Duties: Provide assistance to attorneys and senior paralegals in preparing documents and servicing clients in real estate and finance transactions and in general corporate law. Assist with acquisition/disposition/financing transactions, including title and survey review, obtaining zoning information, and other due diligence depending on type of property. Assist with preparation and review of tenant estoppels for acquisition/disposition and financing transactions. Assist with banking and finance transactions, including checklist preparation, due diligence requirements and closing logistics. Assist with formation of corporations, LLC's and other entities in Wisconsin, Delaware and other states as needed, including formation and organizational documents. Obtain good standing and existence certificates and similar materials from appropriate government offices. Review and summarize UCC, judgment, tax, and other lien searches. Prepare and file a variety of documents including: deeds, mortgages, memoranda of leases, UCC financing statements, bill of sale, affidavit of title, and transfer declarations. Prepare board/member consents, secretary certificates, and related entity materials, both in connection with transactional closings as well as annual entity maintenance for clients and their subsidiaries. Assist with closings of varying types, including: coordination with title companies; maintenance of closing checklists; preparation of signature pages; coordination of the closing process; and preparation of closing binders after transaction closing. Independently organize and manage files or delegate similar tasks to appropriate staff member(s). Supervise and/or mentor Paralegal Assistants. Attend and participate in in-house CLEs. Meet billable hour requirement of 1500 hours per year. Other duties as assigned by attorneys or senior paralegals. Requirements: Bachelor's degree or Associate's degree/Paralegal Certificate from ABA approved program. 2+ years relevant experience preferred. Real Estate or Corporate experience preferred. Significant, substantive legal related experience may be considered in lieu of formal education at the discretion of the Department. Ability to work well under pressure, multi-task efficiently and think independently. Ability to sustain attention to detail and produce high-quality final work product. Ability to interact effectively and professionally and provide exceptional service, internally and externally, at all times. Highly organized, with ability to prioritize workflow and manage projects. Ability to perform effectively with little or no supervision and within established time limits and on-going deadlines. Ability to work collaboratively within a team; ability and willingness to adapt to changing business demands. Technical proficiency in database use and management, internet/electronic research, and project folder/electronic file maintenance.
