Investment Management Paralegal - Tier II or III The candidate should have experience in drafting closing, conveyancing and loan documents. Experience with the formation of corporations, limited liability companies and limited partnerships, including preparation of formation documents, bylaws, organizational minutes, and obtaining EINs. Experience in Corporate Due Diligence. Experience with the preparation and filing of corporate filings and UCC financing statements. Experience in the preparation of documents in connection with transactional closings such as secretary and officer certificates, closing agenda, obtaining good standing certificates, and certified charter documents. Experience with qualifications, mergers, conversions, dissolutions, withdrawals, and preparation of documents required for each, including review of relevant statutes to determine requirements in each jurisdiction. Experience with obtaining lien and judgement searches, helping to determine the proper location for searches and summarizing search results as needed. Experience with blue sky research, obtaining SEC access codes; preparation of From D and documents required for state securities filings. Experience in analyzing due diligence documents for acquisition and real estate finance transactions. Experience in organizing and assisting with closings including review of settlement statements. Experience in dealing with multi-state loan/acquisition transactions. Familiarity with Mergers and Acquisitions, public securities ( 33 and 34 Acts), venture capital and/or private equity placements, a plus. Familiarity with Subscription Agreements and related documentation. Knowledge of Section 13 (f), (g) and (h) filings. Ability to draft initial corporate documents and various agreements and prepare closing binders and checklists. Ability to interact well with attorneys, staff and clients.
