Paralegal The candidate will advise clients on the formation and registration of investment companies and investment advisers, and provides advice about regulatory compliance and securities law issues. Format matters for onshore and offshore investment funds, operations and compliance, annual reviews, regulatory examinations and investigations, private equity investment transactions, venture capital investments, acquisitions, dispositions, joint ventures, and intra-partner dealings, as well as counseling clients in connection with reorganizations, mergers, acquisitions and other business combinations of investment companies and other pooled investment funds. Perform all assignments in strict compliance with ethical guidelines governing the practice of law. Docket and take appropriate action to monitor and meet deadlines. Assist with closings, closing checklists, and the preparation, distribution and tracking of closing documents. Provide direct support to clients and use discretion to handle matters involving an attorney. Maintain positive relationships with firm attorneys, co-counsel, clients and vendors. Participate in the training and professional development of other paralegals in routine practice elements. Track and record client-billable time as required meeting minimum billable hour requirements. Graduation from a four-year college or university with Bachelor's degree is required. Should have 10+ years of experience with corporate transaction; law firm experience is preferred; or any combination of training, education and experience that demonstrates the ability to perform the duties of the position.
