Senior Paralegal, Technology Companies Group The candidate will support the delivery of quality legal services to clients. Will prepare organizational documents and handle the maintenance of company corporate records. Do blue sky research and prepare and file necessary state and federal filings. Draft board and stockholders consents, assist in note and preferred stock financing closings, manage equity plans and capitalization tables. Bachelor's degree is required. A paralegal certificate from an ABA approved program is preferable. Must have 8+ years of equivalent firm paralegal experience. Should have specific and detailed knowledge and understanding of complex issues and procedures. Significant working knowledge of US Bankruptcy Code and the court procedures, Delaware General Corporate Law, New York Business Corporate Law, and California Corporations Code is required. Should have an understanding and previous application of the local rules regarding bankruptcy administrative filings of other states. Advanced computer skills with proficiency in MS Word and Excel and any practice related software essential.
