Provide lawyers with assistance in the preparation for and closing of various corporate transactions, including mergers and acquisitions and initial public offerings. Assist with SEC Filings. Work directly with lawyers to prepare SEC filings with regard to securities offerings and respond to the requirements of the Securities Acts of 1933 and 1934 filings. Prepare/conduct UCC Filings/Searches. Assist lawyers in the preparation and filing of UCC filings and handle UCC filing search requests in all states. Work with Internal Revenue Service. Assist with the completion and filing of SS-4 Forms with the Internal Revenue Service for the purpose of obtaining Employee Identification Numbers (EINs) for corporations, partnerships and/or limited liability companies. Assist with franchise filings with various state agencies. Provide lawyers with assistance in the preparation of update questionnaires, disclosure document updates, and new and renewal registration filings with states that require the registration of franchise offerings, advertising and franchise seller disclosure form filings and business opportunity exemption filings. Baccalaureate degree required. Certificate from well-accredited paralegal training program a plus. Ability to multi-task and prioritize assignments while delivering consistent, quality work-product to both attorneys and clients required. Legal Secretary The candidate will: Provide legal and non-legal administrative support to attorneys and clients. Prepare documents, forms, spreadsheets, and presentations including IP Litigation specific documents such as: documents and pleadings for Federal, State and and Appellate Courts /agency filings, services and client files, maintain case documents and information in various electronic databases. Provide assistance with trial preparation. Organize and maintain case files and administrative files. Process intake of new clients, create client files, search, and print reports. Work with assigned billing specialist: prepare invoices, create cover letters, copy, and mail invoices. Coordinate meetings including videoconferences, conferences calls, A/V equipment, catering, presentation materials, visitors, rooms/offices. Manage contacts and calendar. Manage phones including: screen incoming calls and handle messaging, transfers, and conference calls. Schedule travel; process expense reports, check requests and business development activity; perform GL coding. Enter and release time for timekeepers; print reports as requested. Requirements: Bachelor s degree preferred. IP Litigation legal secretary experience required and 3 years in a professional services environment. Proficiency in Microsoft Office, (including creating and/or updating table of contents, table of authorities, and defined terms), Outlook, Adobe Pro, Document Management, and time entry systems. Strong knowledge of court filing proceduresspecifically electronic filing systems for Federal, State and Appellate courts, USPTO and PTAB, and International Trade Commission (ITC). Ability to navigate IP Litigation specific sites including: Pacer, ECF, and PTO website databases. Strong attention to detail.
