Corporate Paralegal Duties: Prepare legal documents, and provide organizational and administrative assistance, in the following areas, among others: business organizations and governance; equity investment and transfer transactions; business acquisition and sale transactions; entity mergers and conversions; business restructuring transactions; entity dissolution and wind-ups; securities laws compliance; other legal and regulatory compliance. Prepare and make filings with governmental authorities in Ohio and other states. Obtain certifications and other documents from governmental authorities in Ohio and other states (e.g., good standing certificates and tax clearances). Review, organize and update corporate minute books and other business organizational and governance records. Analyze and summarize documents for business organizational, transactional and compliance matters. Develop and maintain good working relationships with the Ohio Secretary of State s office and staff. Coordinate and communicate with third party service firms (such as statutory agent companies and search firms) in connection with business organizations, transactions and regulatory compliance, including multi-jurisdiction transactions and related filings. Record on a thorough and timely basis all professional time incurred for clients. Process on a timely and efficient basis invoices from third party service firms (such as statutory agent companies and search firms). Regularly consider and implement more efficient processes and workflows. Qualifications: Bachelor degree. Paralegal certificate from an ABA approved paralegal program or equivalent experience required. 5+ years of corporate law firm experience. Knowledge of Ohio business organization laws and regulations. Understanding of and commitment to confidentiality and other professional ethical obligations. Self-motivated. Careful attention to detail and strong proofreading skills. Ability to organize and manage complex tasks. Team player. Strong interpersonal, verbal and written communication skills. Knowledge of MS Office, including Excel, PDF Professional and hCue. Familiarity with typical legal documents involved in business organizational, transactional and compliance matters. Utmost attention to quality, a commitment to client service, and responsiveness.
