Finance Paralegal Duties: Assists in small to large-sized transactions, tracking, obtaining and organizing pre- and post-closing documents; assists with closing binder preparation and distribution and with other corporate document distributions.. Performs public searches of all kinds, including federal and state lien searches, financing statements and Secretary of State records; prepares charts to illustrate results. Assists with the preparation and filing of various corporate documents including certificates of incorporation, amendments, uniform commercial code financing statements and lien searches. Obtains name reservations, certified copies of corporate documents, certificates of good standing and legal existence from state officials for corporate transactions or when otherwise requested.. Drafts and/or reviews bylaws, articles, certificates, amendments, resolutions, consents, minutes, stock transfers and ledgers for corporations, limited liability companies, limited partnerships and business trusts. Drafts and/or reviews closing documents including, basic agreements, officer s and secretary s certificates, opinions, third party consents, cross receipts and stock transfer documents; compiles information and prepares schedules and exhibits to agreements. Utilizes online services to obtain lien searches, corporate documents and other corporate certificates. Serves as the liaison with ongoing clients regarding the maintenance of stock records and minute books; provides assistance with other corporate maintenance as necessary. Assists attorneys with due diligence in the areas of corporate records, contracts, leases, environmental reports, etc. All other duties, as assigned. Qualifications: A Bachelor's degree is required. A Paralegal Certificate is preferred. 1-2 years of experience working in a similarly sized law firm or legal service industry is preferred. Strong Microsoft Office capabilities (Word, Excel, and PowerPoint) required. Handles confidential and sensitive information with appropriate discretion. Possesses organization and communication skills. Exercises tact, courtesy and diplomacy in all interpersonal dealings. Works efficiently with all levels of personnel. Makes sound and reasonable judgments and decisions.
