Senior Paralegal Responsibilities: Responsible for providing assistance to attorneys in researching law, investigating facts, preparing documents, and servicing clients in relation to real estate matters. Assist with acquisition/disposition transactions, including title and survey review, obtaining zoning information, and other due diligence depending on type of property. Assist with preparation and review of tenant estoppels for acquisition/disposition and financing transactions. Assist with financings (borrower side), including responding to lender checklist requirements and closing logistics. Assist with formation of LLC s, Partnerships, and other entities in Texas, Delaware and other states as needed, including: preparation and filing of certificates of formation; preparation of simple organizational documents; and assist lawyers with portions of more complex entity formation and organizational documents. Obtain good standing and existence certificates and similar materials from Secretary of State or other appropriate government offices in connection with delivery opinions. Prepare partner/member consents, secretary certificates, and related entity materials, both in connection with transactional closings as well as annual entity maintenance for clients and their subsidiaries. Assist with closings of varying types, including: coordination with title companies; maintenance of closing checklists; coordination of the closing process (either in person or via remote document delivery); and preparation of closing binders after transaction closing. Prepare initial drafts of purchase contracts, closing documents, and other transactional documents using available models. Prepare lease and loan abstracts. Assist with lease preparation, including: prepare initial lease documentation for review by client from approved Lease Requests; review comments from Tenant s attorney/representative; work closely with lawyers to define proper response; make determination with respect to legal issues and client s policy issues; and negotiate lease issues and draft appropriate changes to documentation with the goal of protecting the client and closing the transaction. Maintain at least weekly status report for client. Provide administration support. Review title and surveys. Learn/develop technical proficiency in database use and management, internet/electronic research, and project folder/electronic file maintenance. Independently organize and manage files or delegate similar tasks to appropriate staff member(s). Supervise and/or mentor Paralegal Assistants. Attend and participate in in-house CLEs. Meet billable hour requirement of 1600 hours per year. Other duties as assigned. Requirements: Paralegal Certificate from ABA approved program for legal assistants or graduation from an institutionally accredited program that is not ABA approved, but which requires equivalent of 60+ semester hours of classroom study and 3+ years of in-house training comparable to the type of training a paralegal would receive at the Firm. OR Associate s degree from ABA approved program or study for legal assistants and 2+ years of comparable training. OR Bachelor's degree or advanced degree in any field and 1 year or more of comparable training. OR Significant, substantive legal related experience may be considered in lieu of formal education at the discretion of the SBU Leader. 5+ years' relevant experience. Ability to work well under pressure, multi-task efficiently and think independently. Ability to sustain attention to detail and produce high-quality final work product. Ability to interact effectively and professionally and provide exceptional service, internally and externally, at all times. Highly organized, able to prioritize workflow and manage projects. Ability to perform effectively with little or no supervision and within established time limits and on-going deadlines.
