This mid size Orlando office maintains a full service civil law practice. The is organized into the following areas: litigation, health law, communications and media, employment and labor, tax, personal planning and employee benefits, securities and public offering, real estate, and business and corporate office. Transactional Legal Secretary Duties: Drafting, editing, redlining, and proofreading complex practice-specific legal documents, forms, and correspondence relating to Corporate Governance, Securities Offerings, and Compliance, and Mergers and Acquisitions, such as Form 10-Ks, Form 10-Qs, proxy statements, annual reports, press releases, offering memoranda, board resolutions, consents, opinions, HSR forms, purchase and sale agreements, partnership agreements, bylaws, employment agreements, separation agreements, engagement letters. Preparing closing binders for corporate transactions and assisting with post-closing matters. Processing attorney time relative to billing using InTapp. E-Filing in both State and Federal Courts and is also a Notary Public (a plus). File documents, order certificates and perform searches with the Texas Secretary of State, and also work with Capitol Services for corporations that are formed outside of Texas. Administrative support includes: transcribing dictation, maintaining multiple attorney calendars, coordinating travel arrangements, entering attorney time, billing, preparing expense reports, organizing and coordinating meetings and conferences. Maintaining an effective filing system. Perform other duties as assigned. Qualifications: Must have 5+ years of experience as a corporate, transactional, and M&A secretary. Software knowledge must include MS Office suite, Net Docs or other document management systems, and InTapp or other time entry systems. Proficient understanding of contract law/principles. Must possess strong organizational and communication skills. Must possess strong attention to detail, ability to balance multiple projects, and have strong time management skills. Initiative and willingness to be a team player are important assets for this busy desk. Strong interpersonal and communication skills. Ability to utilize firm resources to assure that all work is completed in a timely manner. Ability to provide a high level of customer service and be able to clearly and effectively communicate both verbally and in writing.
