The San Francisco office of this mid-size firm is engaged primarily in litigation and general business, although the firm boasts a solid regulatory and administrative law practice and a respectable labor/employment practice. The firm has a strong pro bono commitment; associates receive full billable hour credit for approved pro bono work and, overall, pro bono comprises 3-5% of all work. The billable hour target is 1850 and salaries are approximately 20% below market.
Paralegal Responsibilities : The candidate will handle all aspects of initial submission of offering plans and amendments and other regulatory filings to the New York Attorney General s office. Handle all aspects of the initial submission of tax incentive applications such as 421-a, 420-c, and Article XI. Keep track of various deadlines for city and state regulatory filings such as offering plans and tax incentive applications. Assist with the condominium formation process, including all technical filings with the Department of Finance and the Department of Buildings. Draft various documents related to condominium offerings, such as form of deed, estoppels, and form licenses. Handle the contracts and closings for high-end condominium projects, including the interfacing with various professionals such as selling agents, title companies, and attorneys for buyers. Review title, survey, and title commitments and respond to title and survey comments from counter-parties. Perform due diligence, coordinate and implement transactions and work with team to close both debt and equity commercial real estate and affordable housing transactions. Work with vendors to order various due diligence certificates and searches. Work directly with the title companies to finalize title policies for transactions. Use project management tools and techniques to assist with work plans, budgeting and tracking. Track transaction tasks and phases and communicate progress to team as issues and/or items are resolved. Prepare signature page packets and coordinate signatures of various deal participants. Prepare closing indices and binders, and follow up on an extensive array of post-closing matters. Conduct research and gather information using general and legal research tools. Other responsibilities as client needs dictate. Requirements : The candidate should have a Bachelor's degree and paralegal certificate or appropriate job-related experience required. Minimum of 7 to 10 years experience as a real estate paralegal, with experience in cooperative and condominium law, preferably sponsor representation, including contracts, closings, and amendments to offering plans. Substantial Title and Survey experience. Excellent, organizational, communication, analytical and critical thinking skills. Exceptional drafting, proof-reading and communication skills. Should be comfortable with excel and the submission of various documents electronically to city and state agencies. Ability to work independently, plan and take initiative to accomplish objectives in a timely manner with minimum supervision. Must be a team player while effectively and efficiently using firm resources. Experience with tax incentives is preferred, but not required.
