Paralegal, Federal Energy Regulatory Commission (FERC) The candidate will be assigned to specific matters, clients and projects to assist attorneys in the Federal Regulatory and Transactions practices with Federal Energy Regulatory Commission (FERC) filings, preparation of corporate documents and Statutory filings during corporate transactions. Directly assist attorneys by preparing and filing documents with FERC or other regulatory agencies, including Electronic Tarif filings. Conduct factual or legal research and analyze documents. Monitor FERC dockets and appellate proceedings. Manage FERC company contacts, filing updates and software requirements. Extract and organize information from court and agency orders, records and documents to create and maintain internal database and reporting. Familiarity with eLibrary to pull documents. Prepare corporate formation documents (Corporations, LLCs, LLPs, etc.), nationwide and file all materials with the applicable state department(s). Draft corporate filings such as resolutions, bylaws, amendments, annual reports, etc. Prepare corporate minute books, stock certificates and transfer instruments. Draft financing statements, amendments, termination and other documents under the Uniform Commercial Code (UCC); perform state and federal UCC, lien, and litigation searches and summarize findings. Perform transactional & regulatory due diligence; create and manage electronic due diligence data rooms. Assist with drafting signature pages, certificates, documents, instruments, and other agreements for corporate and financing transactions. Organize closing documents (including preparing closing binder sets and/or closing CDs) and signature pages and notarize/coordinate with notaries. Bachelor's degree is needed. Ability to manage multiple projects in a deadline driven environment and prioritize responsibilities. Demonstrate a willingness to learn and develop skills. Use initiative in accomplishing routine assignments with minimum supervision. FERC (Federal Energy Regulatory Commission) experience is required. Knowledge of Microsoft Office Suite (Excel, Outlook, PowerPoint, and Word). Strong written and verbal communication skills. Strong organizational skills.
