Paralegal The candidate will be responsible for assisting attorneys with preparing and filing Articles of Incorporation/Organization, state qualifications, dissolutions, EINs and other organizational and related documents. This will include research to support a legal proceeding, formulate a defense, or to initiate legal action. Research will include coordinating UCC searches and preparing UCC filings, summonses, complaints, motions, and subpoenas. Will also prepare schedules, documents, spreadsheets, closing statements, funds flows for transactions, organize documents and closing books in connection with corporate transactions such as financings, mergers and acquisitions. Some responsibilities will include drafting option grants, stock option agreements, and maintain stock and stock option ledgers and company minute books. The candidate should have college degree and/or Paralegal certificate. Must have 3 years of corporate paralegal experience in a law firm or professional services organization. Experience using legal software is required. Excellent communication and interpersonal skills are needed. Must be able to handle large volumes of work associated with each case and transaction. Experience with conducting Blue Sky filings is preferred. Experience with conducting FINRA (Financial Industry Regulatory Authority) flings is desired. Proficiency in Word, Excel and Outlook is an asset.
