Paralegal (Corporate) Duties: Preparation of Corporate Agreements and closing documents related to corporate transactions. File formation documents, amendments, foreign qualifications and assumed names for entities in various's tates. Prepare and file FEIN applications and's Corporation elections with the IRS. Monitor and file annual renewals as requested by clients and attorneys. Communicate with attorneys working on a matter to provide all necessary information in a timely manner. Prepare and file UCC financing's tatements following firm guidelines. Conduct's tate document and lien's earches and factual research. Communicate with governmental agencies related to filings. Facilitate use of vendors and oversee payment of invoices for's ervices provided. Manage and organize documents, files, and databases associated with each matter assigned by primary attorney. Provide attorney(s) and client(s) with information necessary for business process, decision making, and review in a timely manner. Anticipate attorney and client needs related to matters under management. Delegate effectively and as appropriate to Legal Administrative Assistants working on the matter. Handle all communications, whether oral and written, in a prompt and professional manner ensuring that information is transferred in an accurate and thorough manner. Act as a liaison among various internal departments as well as with outside agencies. Meet billable hour requirement of 1550 per year. Time entry,'s canning, emailing, etc. Assist in Firm marketing for practice area. Performs other duties as assigned. Qualifications: Completion of either of the following: Bachelor's degree OR (a) Associate of Arts degree and not less than 1 year of in-house training as a Paralegal Assistant or Paralegal Intern, or (b) 1-5 years of law-related experience under the's upervision of an attorney or's enior Paralegal, demonstrating a's uperior command of the's kills necessary to be a Paralegal; AND, in addition to (a) or (b), Completion of an educational program for Paralegals that has been approved by the American Bar Association ( ABA A?) or offered by an accredited institution which is in's ubstantial compliance with ABA guidelines for the approval of Paralegal programs is preferred. Preferred: 5+ years Corporate Paralegal experience. Law Firm experience preferred. Proficiency in handling all aspects of a corporate entity.'s trong verbal and written communication's kills.'s elf-motivated with excellent organizational's kills and attention to detail.
