Paralegal Duties: Responsible for all aspects of UCC filings including ordering, obtaining, and analyzing of search results and identifying issues, preparing lien summary reports and UCC filings in appropriate formats for filing and maintaining of filing charts/lists. Preparing and e-filing UCC financing statements, collateral descriptions, amendments and termination statements with state agencies; researching revised Article 9/UCC issues. Working directly with attorneys and clients during closings to provide assistance in the preparation for and closing of various lending and other corporate finance transactions. Preparing initial drafts of ancillary closing documents such as foreign qualifications, amendments, conversions, mergers, withdrawals and dissolutions, typically for Delaware but also other jurisdictions. Maintaining and updating working group lists, timetables and checklists; preparing signature page packages and coordinating distribution of signature pages. Creating and maintaining drafts of incorporation/formation documents, including consents and board resolutions, officer certificates, initial stock subscription agreements, by laws, limited liability company agreements, stock certificates and stock ledgers. Maintaining various corporate governance matters including preparing and maintaining corporate records and minute books; completing and filing Form SS-4s to obtain EINs. Obtaining certified documents from government agencies, corporate service providers, private retrieval companies and internal sources for certified charters and good standings.Conducting research to assist attorneys in determining jurisdictions for qualification. Preparing and filing Form IDs and Form Ds; researching Blue Sky laws to prepares and file Blue Sky notice exemptions with government agencies. Reviewing and organizing due diligence materials as needed, and any other duties that may be assigned. Qualifications: Candidates will have an undergraduate degree, 6-10 years of corporate legal experience. A paralegal certification from ABA-approved paralegal program is a plus. Background in Real Estate Lending a plus. Significant contact with attorneys and clients and requires strong interpersonal, verbal and written communication skills. The ability to adjust to changing priorities and maintain flexibility is required, as is a respect for deadline-driven work. Individual will be able to follow both oral and written instructions and to communicate with a diverse group of attorneys, paralegals and administrative staff. The capacity to work with limited supervision and maintain multiple long term projects is required. The ability to retrieve, lift and transport files, documents and office supplies throughout the office is essential. Strong technical skills are required, particularly in Microsoft Word, Excel, Outlook, document and record management systems, Westlaw, Lexis/Nexis, Pacer and other databases as needed. Some overtime work after-hours including weekends may be required.
