Blue Sky Paralegal The candidate will be responsible for supporting attorneys in our busy Investment Management and Corporate and Transactional practice groups. Submitting filings under federal securities and state blue sky laws including drafting and filing Form D with the SEC and relevant states, familiarity with EFD system is a plus; drafting and filing other documents in connection with state securities requirements. Will be researching state securities laws and preparing legal memoranda on various securities and transactional exemptions for public and private offerings and investment adviser and broker/dealer registration requirements. Preparing and filing of formation, foreign registration, amendment, dissolution and related filings for corporations, limited liability companies, limited partnerships and business trusts; preparing meeting minutes, resolutions, written consents and other corporate actions; preparing and maintain stock certificates and stock ledgers and corporate minute books. The candidate should have 2 to 4 years of corporate paralegal experience working in a corporate legal department or law firm/professional services environment. A certificate of completion of a paralegal program approved by the American Bar Association; A degree from a postsecondary institution with a minimum of 24 units in law-related courses accredited by a national or regional accrediting organization as required by State law; Completion of a four year college degree plus a minimum of one year of law-related experience under the supervision of a licensed lawyer; or A high school diploma plus a minimum of 3 years of law-related experience under the supervision of a licensed lawyer. Should have knowledge/expertise in incorporation and/or formation of corporations, partnerships and limited liability companies, foreign qualification application filing and applicable resolutions, and supporting mergers & acquisition transactions. Strong skills in Microsoft Word, Excel, Visio, and Corporate Focus (with experience maintaining cap tables). A highly professional and positive demeanor and demonstrated work ethic including the willingness to take on extra tasks and responsibilities (including overtime) in order to meet client/firm needs Follows up on assignments in situations where there is little or no guidance; structures a system from minimal instruction; and strives to submit a flawless work product. Ability to function in team environment, in addition to being an individual contributor. International corporate governance a plus. Strong organizational skills and extreme attention to detail.
