Salary: $50,000 - $60,000 annually Mergers & Acquisitions Paralegal Law Firm is looking for a Mergers & Acquisitions (M&A) Paralegal to join their Dallas, TX office. The successful candidate must have a Paralegal certificate and a minimum of 4 years of experience in the field. This position is responsible for gathering, preparing and summarizing relevant materials for use by the attorneys. The work requires strong attention to detail and the ability to collaborate and work in a fast-paced environment. The Paralegal must be patient and meticulous and have excellent customer service skills. The M&A Paralegal will be directly supervised by the Director of People Operations and will be responsible for the following duties and responsibilities: * Draft and maintain corporate governance records including board resolutions, all organizational documents including bylaws, operating agreements, qualifications, and SS-4s * Maintain capitalization tables * Arrange legal documents and maintain charts, spreadsheets, files, and status trackers * Manage legal entities and the Company's legal structure, including organizing and dissolving entities and providing ongoing compliance with legal requirements and best practices * Track disclosure schedules * Prep closing binders * Assist with SEC filings (EDGAR); file corporate annual reports and related filings (DBAs, Qualifications to Do Business, etc.) in various states * Prepare meeting materials and minutes, preparing and managing corporate governance and related policies, monitoring and reporting on external governance trends and best practices * Prepare and review documents with attorney supervision * Assist in research * Attend 12 hours of BAU training each year Qualified candidates must have a Paralegal certificate and a minimum of 4 years of experience in the field. In addition, they must have strong organizational and oral/written communication skills, be proficient with MS Office, specifically Excel, and have a strong customer service skills. Knowledge of the field is a must. This is a full-time non-exempt position and is a Hybrid position. Three days are mandatory in the office, two days at home. Days and hours of work are Monday through Friday, 8:30 a.m. to 5:00 p.m. No travel is expected for this position. The salary range is $50,000 - $60,000 annually.
