Senior Paralegal The candidate should have technical skill and professional maturity to operate independently with minimal guidance from an attorney. They perform a range of tasks that assist the Firm in providing legal services to clients, including tasks that might otherwise be assigned to associates, all under the supervision of attorneys. Should have 5+ years of experience with fund formation and venture capital transactions in a large law firm or private fund formation experience or in a business practice with emphasis on limited liability companies and partnerships in a comparably sized law firm or public company corporate law department. Responsibilities include preparing and maintaining organizational documents, partnership and limited liability company agreements, transfer agreements, admission agreements and other amendments; researching Federal and State securities regulations in connection with fund formations and preparing and filing requisite notices; conducting due diligence review of documents and preparing opinions and backup in connection with fund formation; and handling SEC compliance reporting on behalf of venture fund clients with respect to their public company stock portfolios. Qualified candidates will exhibit strong organizational skills, acute attention to detail and excellent oral and written communication skills. Applicants are required to have a BA/BS degree and possess excellent oral and written communication skills, be detail-oriented with the ability to manage multiple priorities and track extensive details, have the ability to establish and maintain good working relationships with personnel and to handle confidential information sensitively and discreetly. Should have Bachelor's Degree. Minimum of 5 years of paralegal experience.
