Senior Corporate Paralegal The candidate will be drafting, editing, and proofreading transactional documents. Organizing and interpreting complex legal documents. Conducting searches on corporate and litigation matters. Collecting, analyzing, and synthesizing information for attorneys. Creating memoranda relevant to mergers, acquisitions, etc. Draft financing statements, amendments, termination and other documents under the Uniform Commercial Code (UCC); perform state and federal UCC, lien, and litigation searches. Draft corporate filings such as resolutions, bylaws, amendments, annual reports, etc. Prepare and maintain electronic and hard copy corporate entity records and minute books, Bylaws/Operating Agreements, resolutions, shareholder records, qualifications and assumed name applications and renewals. The candidate should have Bachelor's degree. Must have 5-10 years of corporate experience preferably in a law firm. Experience with iManage and Orion is preferred. Working knowledge of office practices and procedures required. Ability to handle and maintain confidential information. Able to work independently and take direction well. Excellent interpersonal skills in order to interact with staff and attorneys at all levels.
