Corporate Paralegal Responsibilities : The candidate will be responsible for handling corporate formation and organizational matters, stock transfers, board minutes and other general corporate matters; Create and maintain capitalization records; Assist with major corporate transactions, including venture capital investments, capital markets transactions and mergers & acquisitions; Form, merge and dissolve entities nationwide; Preparing closing checklist; Maintain closing files for various types of corporate and real estate transactions and compile closing sets and assist with transaction closings; Prepare and file Section 16 notices, securities exemption notices and other securities filings; Prepare memoranda regarding statutory requirements for filing of corporate documents with Departments of State and IRS;? Maintain corporate minute books; Coordinate document retrieval from government agencies and prepare government filings; Familiar with basic corporate documents including resolutions and organizational documents; Draft documents related to all types of commercial real estate and loan transactions, including resolutions and organizational documents; Coordinate document retrieval from government agencies and prepare government filings; Familiar with basic corporate documents including resolutions and organizational documents; Conduct detail title, survey and zoning analysis and review of real property tax records; Work closely with title companies regarding title and endorsement matters; Preparing deals and other conveyance and closing documents; UCC filings, searches, and analysis; Preparing and filing a variety of documents, including: deeds, mortgages, memoranda of leases, etc.; Due diligence review and organization; Preparing applications for permits; Obtaining and reviewing permits; Obtaining and reviewing local government codes/ordinances; File and project organization; REQUIREMENTS : The candidate should have BS/BA degree or equivalent experience preferred; Paralegal certificate desirable. 3+ years of corporate and transactional experience required; real estate and land use transactions experience preferred; Meet minimum 1500 hour annual billable requirement; Maintain confidentiality of client information; Flexibility and willingness to work in other practice areas as needed. Strong writing and editing skills; Comfortable conducting internet-based research; Excellent attention to detail and strong organizational and communication skills; Ability to work efficiently in a fast-paced environment with or without direct supervision; Ability to coordinate multiple projects at one time; Flexibility for overtime and willingness to travel. Must be able to lift 20 pounds. Core Hours, Monday through Friday, 9:00 a.m. to 6:00 p.m. (include lunch hour) with flexibility for overtime as needed.
