Corporate and Securities Paralegal The candidate responsibilities will include preparation of documents for formation and dissolution of corporations, LLCs, and other corporate entities; assistance with preparing and reviewing documents in connection with mergers and acquisitions; preparation of communications and filings with state and federal government agencies; preparation of state annual corporate reports; creating and maintaining minute books; and preparation of stock certificates and related stock and option ledgers and similar records. Assist with corporate formations, UCC lien searches, UCC lien filings, supporting corporate transactions including coordinating closing documents and signatures and closing binders, assistance with Form D filings and state securities filings, assistance with SEC filings and other public company support, and document review projects. Should preferably have Bachelor s degree with a minimum of 10+ years related experience in a mid or large sized law firm.
