Senior Paralegal Duties: Performs a range of substantive case, matter or entity related duties by supporting efforts between attorneys, clients, outside legal counsel, opposing legal counsel, other parties, and outside vendors. A critical part of client service teams, working side by side with lawyers, co-counsel and clients on an array of substantive client matters. Will be responsible for preparing and filing Articles of Incorporation / Organization, state qualifications, and organizational and related documents. Will file Amendments, prepare merger documents, UCC searches and filings, and prepare and file annual reports in states where corporations are incorporated and/or qualified to do business. Will also prepare documents and spreadsheets for transactions such as financings, mergers and acquisitions and closing statements, prepare and maintain capitalization tables, and maintain stock and option ledgers.
Requirements: Bachelor s degree and Paralegal Certificate. 8 years as corporate & securities paralegal. Public and private company experience. Experience with Section 16 filings: Form 3, 4 and 5 and Form D filings and preferred stock financing. Blue Sky research. Preferred: Legal software such as Corporate Focus, eProsper or similar application. Proficient skills in Microsoft Word, Excel and Outlook. Large firm experience.
