Paralegal Duties: Under general supervision and according to established policies and procedures, the Paralegal performs a variety of duties to assist attorneys and consultants in the Government Matters and the Corporate, Finance, and Investments Practice Groups in the office. Maintains positive contact with clients and observes confidentiality of client matters. Manage all facets of case from initiation, through discovery and post-trial briefing. Organize and maintain case files (generally utilizing a database like Concordance or Relativity). Assist with document reviews for responsiveness, case issues, and privilege responses to discovery requests and to identify privileged documents, documents for redaction, case issues in context. Review and analyze discovery requests and assist lawyers with discovery responses. Prepare and maintain issue, subject-matter, witness and deposition files. Coordinate with clients, co-counsel and vendors during all phases of discovery. Prepare court filings and service to counsel; experience with e-filing. Provide assistance to transactional (restructuring, corporate) attorneys. Draft legal instruments and corporate governance documents. Prepare UCC filings with consideration for jurisdictional nuances. Perform lien searches and interpret/summarize lien search reports, including UCCs and court filings. Obtain company filings, good standing certificates and the like. Coordinate closing logistics and post-closing follow-up including recording documents, obtaining necessary cancellation documents, and organizing and indexing files. Prepare and distribute paper and electronic closing sets. Prepare state filings, including entity formation, qualification, and dissolution documents and related resolutions/authorization documents. Maintain corporate minute books/stock ledgers. Assist with various licensure applications. Prepare notices of appearance/pro hac vice applications/motions and file documents in US bankruptcy court. Monitor compliance with relevant federal and local bankruptcy rules. Manage centralized case file system. Research regarding bankruptcy case precedent. Coordinate with LPAs and other staff/department. Process and track vendor invoices. Maintain positive relationships with firm attorneys, co-counsel, clients and vendors. Keep accurate time records. Requirements: Bachelor's Degree with a 3.5 cumulative GPA. 2-5 years of experience in fast-paced firms. Proficiency in MS Office Suite, Adobe Acrobat Professional, cite checking, Shepardizing, and bluebooking; working knowledge of Best Authority, iRedline, DeltaView, iManage (Desksite), LEXIS/Westlaw, and document/discovery management applications, such as Concordance, IPRO, Relativity, iConnect, and CaseMap. Large case management experience. Ability to organize, prioritize, and complete multiple tasks under strict time constraints. Ability to work on multiple matters simultaneously and multi-task, including ownership and follow-through of individual matters. Able to work both independently and as an integral member of the team; takes initiative; communicates effectively.
