We do not need to tell you that as a very successful Arizona firm the people here do appear to work very hard and we hate to say it but we will: Many are working New York type hours. The firm also has been criticized in many respects for its lack of diversity; however, we do not believe that this is a serious problem because the firm's recent hires have all been very diverse in our opinion. The firm also receives very high scores for the treatment of associates by partners and there does appear to be a very good relationship here between associates and partners with associates feeling they are part of the mix to a great degree and respected by partners. Most associates at this firm would much rather stay with the firm than switch firms. In our book this is a good sign.
Business Paralegal The candidate will support the Mergers & Acquisitions, practice group. Maintain positive contact with clients, attorneys and maintain confidentiality. Ability to work under pressure and time restrictions. Gather and analyze pertinent data from company and transaction records. Review and respond to due diligence requests with legal documents. Review due diligence received for transactions, including review and audit of corporate history and capitalization records. Prepare, maintain and manage transaction closing checklists based on a review of main transaction documents. Prepare and maintain closing checklists throughout the transaction, from the due diligence process to post-closing deliverables. Research federal securities exemption and state "Blue Sky" laws. Prepare appropriate federal and state securities filings. Conduct lien and litigation searches, prepare a summary of findings. Prepare and maintain research and diligence analysis. Draft merger subsidiary documents, as needed. Set up and maintain virtual data rooms. Prepare and distribute closing sets. Ability to confer with governmental agencies on a variety of matters including licensing, permits, securities laws, etc., and summarize results of same. Ability to work with and guide new associates and those with less transaction experience. Maintain departmental form files and systems. The candidate must have 4 years BA/BS degree in a related field or equivalent degree and 5 years of experience as an M&A or ECVC paralegal. A paralegal degree is preferred. Must have Mergers & Acquisitions experience or a demonstrated interest in M&A transaction with relevant academic background, with superb organizational, analytical, and communications skills; ability to establish effective working relationships with Firm lawyers and staff, client personnel, and other professionals. Should preferably have the ability to take initiative and to exercise discretion and independent judgment; experience using due diligence data rooms, Dropbox, Box, etc., Microsoft Excel, DocuSign, and Carta software; familiarity with research tools including Cheetah, and online state code resources; strong knowledge of California and Delaware corporate law, federal and state securities laws, option plan administration, venture capital finance, and private company M&A.
