Finance Paralegal Duties: Assist in all aspects of syndicated and non-syndicated credit facilities, including lender and borrower representation and secured and non-secured loans in all market sectors. Assist with debt restructuring, bankruptcy, and real estate, securitization, trademark and securities litigation lawyers as needed. Draft loan documents and schedules for term loans, revolving loans, asset-based loans, real estate loans, lines of credit and unsecured facilities. Prepare for, assist with and attend closings and coordination of all post-closing requirements, including funding. Obtain, organize, review and summarize due diligence materials, including corporate status certificates and certified corporate documents, patent and trademark searches, and real estate title examinations and surveys, as well as preparation of necessary documentation to correct or clear title. Determine UCC/lien search locations, order UCC/lien searches and prepare and file UCC Financing Statements and any amendments thereto. Recordation of security instruments and other documents as necessary, including with the U.S. Patent and Trademark Office and coordinating with international counsel relating to international trademark and patent filings. Prepare and distribute closing binders. Proofread and mark legal documents. Operate standard office equipment such as photocopiers, fax machines and personal computers. Maintain current and accurate daily time record. Perform special projects as assigned. Establish relationships and effectively liaise with clients and vendors on a regular basis. Qualifications: Completion of a Bachelor's degree is required. Paralegal certification is preferred. 5+ years of prior paralegal experience in a corporate practice. High functioning knowledge of UCC filings and searches. Ability to organize and prioritize numerous tasks and complete them under time constraints. Ability to concentrate and pay close attention to detail when evaluating legal matters. Ability to proofread typed material for contextual, grammatical, typographical or spelling errors. Interpersonal skills necessary in order to communicate and follow instructions effectively from the client, attorneys and staff and provide information with ordinary courtesy and tact. Work may requires more than 40 hours per week to perform the essential duties of the position; may often require irregular hours. Self-motivated and able to thrive in a fast paced environment.
