Paralegal The candidate will assist attorneys with state securities ( Blue Sky ) research and filings, formation, financing, maintenance, merger and acquisition of corporate entities, partnerships and limited liability companies partnerships. Will assist with (i) researching relevant state securities statutory provisions; drafting blue sky surveys; drafting state securities registration, exemption, or notification documents and related exhibits for various securities transactions for filing; coordinating such filings with the various state securities administrators via the EFD or by mail; maintaining active correspondence and telephone contact with the state securities examiners with regard to such filings; and preparing state securities sales reports and renewal documents. Assist in the preparation of documents to register firms and/or individuals as brokers-dealers, issuer-dealers, investment advisers, agents and securities salesmen, when required. Perform due diligence related to various loans and corporate transactions, including debt and equity financings and mergers and acquisitions. Organize and file formation documents for corporations and limited liability companies partnerships, including drafting and filing documents, reserving names, filing assumed business names, handling IRS application process and working directly with clients. Assist with closings of merger and acquisition transactions, including ordering of UCC and lien searches and summarizing results; order certificates of good standing and certified charter documents as prerequisites to closing, as well as coordinating and compiling closing sets. Assist with closings of debt and equity financings, including obtaining and compiling good standing certificates, and various closing deliverables and closing sets, as well as researching and coordinating federal and state securities law filings. Prepare and maintain company minute books and other company records. Draft and organize documents for closing; supervise closing room; assist in closing and post-closing matters, including required state filings, and preparing closing binders. Handle audit letter requests; draft audit response letters; coordinate execution and Audit Letter Committee approval. Retrieve UCC filings, and file UCC's at county and state level. File initial applications for, abandoned and withdrawal of assumed names at state and county level. Perform advanced on-line research for transactions. Achieve billable hourly requirement set by the firm. Other duties as assigned. The candidate must have Bachelor's degree. Having Paralegal Certificate is preferred. Must have Blue Sky experience. Having 7+ years of experience is preferred. Familiarity with federal and state and county forms regarding corporations and partnerships and filing procedures are needed. Familiarity with the Corporations Code; familiarity with securities laws filings (such as federal Form D filings) are required. Technical expertise in Microsoft Office, including Access and ability to perform Internet-based searches is needed.
