We do not need to tell you that as a very successful Arizona firm the people here do appear to work very hard and we hate to say it but we will: Many are working New York type hours. The firm also has been criticized in many respects for its lack of diversity; however, we do not believe that this is a serious problem because the firm's recent hires have all been very diverse in our opinion. The firm also receives very high scores for the treatment of associates by partners and there does appear to be a very good relationship here between associates and partners with associates feeling they are part of the mix to a great degree and respected by partners. Most associates at this firm would much rather stay with the firm than switch firms. In our book this is a good sign.
Paralegal The candidate will support attorneys in our Business Group. Working under the direction of Partners and Associates, will be responsible for providing a broad range of support to our attorneys with tasks such as: Prepares corporate organization documents including initial stock subscription agreements, stock certificates and stock ledger; Drafts and files certificates of incorporation and certificate of formation; Drafts written board consents in lieu of a meeting and written stockholder consents in lieu of a meeting, including both organizational and transactional closing matters; Drafts resolutions to be presented at a board or stockholder meeting; Compiles and maintains minute books and stock ledgers; Conducts research to assist attorney in determining jurisdictions for qualification; Prepares and files qualification and withdrawal applications; Orders lien searched and summarizes lien search results; Prepares and files statutory filings with the various Secretaries of State, including annual reports, amendments, conversions, mergers and dissolutions; Formulates solutions to problems which may arise, such as good standing issues; Interfaces with corporate service providers regarding statutory registered agent services and statutory filings; Drafts written consents approving closing agreements; Drafts certificates including secretary and officer certificates; Prepares closing files; Orders certified copies and good standing certificates; Prepares and files UCC statements, amendments and termination statements; Reviews collateral description on lien summary; Prepares initial draft of closing checklist; Assists with closing, including tracking down signature pages, tracking down final agreements and providing general support Prepares closing book index and assembles closing book and CDs; Assists attorneys with client pitches and may participate in client events; Supervises junior Business paralegals/paralegal assistants and may be asked to assist with training of junior associates. Qualifications: Bachelor's degree (or equivalent) along with previous, recent corporate paralegal experience in a mid to large size law firm. Paralegal certificate preferred. 15+ years recent corporate/finance paralegal experience in a law firm or equivalent. Excellent proofreading and technical skills, keen attention to detail. Ability to handle multiple tasks, multiple concurrent deadlines and work well under pressure. Ability to establish effective working relationships with firm lawyers and staff, clients and other professionals. Professional oral and written communication skills with excellent email and telephone responsiveness. Ability and desire to learn new areas of the law and take on new challenges to continue professional development. Demonstrated good judgment in making decisions and creativity in solving problems. Excellent customer service skills. Familiarity with corporate service vendors and government agencies to obtain certified documents. Familiarity with federal, state and local rules/filing procedures strongly preferred. Flexibility with work schedule is required to accommodate overtime, including evenings, weekends and holidays, when necessary. Must have a client focused approach to work, be able to handle multiple assignments efficiently, work well under pressure, and have the flexibility to assist teams in meeting client demands on accelerated schedules. Must have a strong work ethic, be a self-starter, and operate with strong initiative to meet billable requirements.
