Paralegal - Real Estate Duties: Serves as liaison between legal team and public agency client to assure quality and timely response. Acts as a representative on behalf of the public agency client, demonstrating a positive attitude with professionalism, courtesy, and appropriate tact and discretion in all interactions with members of the public, opposing counsel, other agencies, and other employees. Draft and/or review and analyze all required correspondence and commercial purchase and sale, lease, loan, tax and escrow documents, including, but not limited to: Letters of Intent, Purchase and Sale Agreements, Escrow Instructions, Deeds of Trust, Promissory Notes, Releases of Liens, Continuing Guaranties, Loan Agreements, Environmental Indemnity Agreements, Leases, Estoppel Certificates, UCC forms, Security Agreements. Daily contact (in person, in writing, or on the telephone) with clients, opposing counsel (including negotiation of certain terms to agreements), brokers, as well as title and escrow officers. Assist in performing due diligence review, including hiring consultants, corporate or other entity status (obtaining good standing certificates and certified copies of formation documents from Secretaries of State), review and analysis of environmental studies, surveys and preliminary title reports, maps and underlying title documents. Coordinate transaction from the beginning through close of escrow in preparation of commercial and municipal real estate deals, which includes affordable and public housing transactions. Online research using Westlaw, Lexis, various Secretary of State business portals, Board of Equalization, State and Federal Tax Form portals, and County and City portals. Selects, assembles, summarizes and compiles substantive information by use of federal, state, and local agency statutes, regulations, ordinances, resolutions, digests, commentaries, legal instruments and other materials/sources of information specific to the applicable practice area. Conducts legal, public records, and other research (including cite check) relating to simple and complex matters, summarizes findings and recommends proposed courses of action and/or solutions to the assigning attorney; is knowledgeable about internet research sources; assists with problem formulation, data collection, and analysis as needed by the assigning attorney. Prepares legal documents and correspondence applicable to the practice area in draft and final forms including redline, as directed by the assigning attorney, and utilizes independent judgment to determine proper distribution; proofreads legal documents and correspondence and makes required corrections in spelling, grammar and punctuation. Performs research and analysis of real property legal descriptions, property ownership, property profiles, title reports, leases, licenses, and contracts. Qualifications: Experience and satisfactory skill levels in all areas of Responsibility and Duties, above, with excellent skills in at least several of those areas. Paralegals without satisfactory skill levels in one or more areas may satisfy the requirements of that skill set by demonstrating a likeability to quickly develop such a skill level. Substantive expertise in one or more areas of the law (i.e., intellectual property, antitrust, employment and labor law, environmental law, bankruptcy) viewed favorably. Strong organizational, reasoning and research skills. Strong written and verbal communication abilities. Attention to detail and initiative. Flexibility, composure and the ability to prioritize and handle many urgent tasks and requests simultaneously with a high level of competence and accuracy. The ability to remain composed and professional under stressful circumstances. Sensitivity to ethical and confidentiality requirements. Ability to work effectively as a member of a team. Ability to work independently, with little supervision. Display initiative and leadership in analyzing and resolving problems and issues as they arise. As necessary, supervise other paralegals, including managing work flow, assisting in the training of Paralegal I or Paralegal II, and delegating responsibilities, as authorized or requested by Firm administration. Observe assigned secretarial support in order to meaningfully contribute and complete an annual performance evaluation, as requested by Firm. administration. Position requires compliance with the Calif. Business and Professions Code Sections 6450-6456. Incumbent should possess a paralegal certificate from an ABA-approved program OR accredited post-secretary institution, as well as a minimum of 10 years of specific paralegal experience. PREFERRED SKILLS AND CHARACTERISTICS: Previous work experience in a public agency or law office practice serving public agency clients.
