Paralegal Duties: Prepare incorporation documents and file applications for federal employer identification number; prepare, file and maintain appropriate corporate minute book, corporate records, and stock and options ledgers; draft initial contracts, confidentiality agreements and various other agreements, memoranda, leases and other legal documents for attorney review and approval; assist with preparation and filing of amended and restated articles; draft Board minutes, Board consents and Shareholder consents; prepare and file documents and forms necessary to secure appropriate business licenses and additional corporate compliance documents. Assist with preparation of documents for various transactions, including purchase and sale agreements, venture capital financings, private equity transactions, mergers & acquisitions, and general corporate tasks regarding stock and option administration; preparation of stock certificates; preparation of disclosure schedules in connection with mergers & acquisitions; and closing binder preparation and distribution. Perform corporate entity searches; retrieval of certified copies of corporate documents, certificates of good standing and legal existence and related documents from state officials for corporate transactions or when otherwise requested.. Assist with the preparation and filing of documents with administrative agencies, state, appellate/supreme and federal courts including petitions, briefs, replies, pleadings, motions, discovery, etc.. Review, organize, and analyze documents for production. Prepare attorneys for meetings, depositions, hearings and trial. Attendance at hearings/trials (may require travelling). Assist with calendaring and maintaining deadlines. Electronic research, cite checking. Monitor databases for case information and to update Client. Enter time into accounting and billing software daily. Requirements: Candidate must have 3-5 years corporate experience dealing with transactions and filings with the Secretary of State in Texas and Delaware. Some litigation experience with administrative agencies, state, appellate, and federal courts is preferred. Must be a highly motivated self-starter with a positive attitude and exceptional verbal, written, and interpersonal communication skills. Must have the ability to consistently meet deadlines while managing multiple projects from multiple individuals with competing priorities, analyze problems, and possess great attention to detail. Ability to exercise discretion, good judgment, and poise in handling sensitive and confidential information. Proficiency in MS Office programs (including Excel), Adobe Pro, Best Authority, Relativity and be generally tech savvy in order to produce a high quality work product.
