Paralegal Duties: Assist lawyers in the preparation of documents for limited liability companies, partnerships and corporations including formations, amendments, contributions, withdrawals, resolutions, organizational charts, mergers and dissolutions; Maintain a library of electronic and hard copy legal documents; Complete stock certificates and stock ledgers; Create and maintain entity binders and minute books; Provide lawyers with assistance in the preparation for and closing of various business entity transactions; Work directly with attorneys and clients during closings and business entity transactions; Prepare audit letters for distribution to auditors and clients; Prepare closing checklists Request certificates of good standings Assist lawyers in the preparation and filing of UCC filings and handle UCC filing search requests; Assist with the completion and filing of IRS Forms SS-4, 8832, and other similar forms for the purpose of entity registration and classification; Employee Identification Numbers (EINs) for corporations, estates, partnerships and/or limited liability companies; Prepare simple balance sheets and maintain company records and account ledgers ; Draft resolutions; Execute certain entity transactions including payment of expenses; Draft letters of instruction; Responsible for coordinating with client family offices, advisors and bankers; Assist with preparation and filing of voluntary disclosure petitions and FATCA registrations; Draft and file various IRS forms for corporations and not for profits; Assist with drafting of estate planning documents; Supervise and / or witness estate plan document execution; Conduct preliminary validation of estate assets and prepare inventory; Prepare forms for the opening of estate bank accounts; Arrange for appraisals and work with accountants to obtain financial information on closely held corporations, partnerships, and sole proprietorships; Assist with documentation regarding asset transfers; Organize documents for preparation of gift tax and federal estate tax returns; Travel to / from State Dept. and Courts to obtain apostiles, certifications and other entity; Documents; Perform account administration and maintenance by maintaining check books and other bank and security investment accounts, monitor account records to ensure accuracy and completeness; Assist with administration of trust assets including property management and private client accounts Assist with the formation of international and domestic trust structure transactions Assist with formation of Perform other job related duties as assigned and assist attorneys when needed. Qualifications: Bachelor's Degree required and 4+ Years of paralegal experience, preferably with 2+ years within a law firm Wealth Planning Group. Notary Public. Must have strong technical skills, including knowledge of Microsoft Word, Excel, Outlook and programs such as File Site and Elite; Strong communication skills, the ability to express self effectively, both orally and in writing; Solid command of the English language including excellent spelling, grammar, punctuation, form and style; Excellent interpersonal skills the ability to establish effective working relationships with colleagues; Knowledge of library operations and records storage procedures for saving and retrieving materials and files; Familiarity with legal terminology pertinent to the area of assignment; Positive, high-energy attitude; Ability to thrive in a demanding, fast-paced environment; and Team player with a strong work ethic.
