Corporate Paralegal Duties: Drafting, managing, and filing with State agencies various business entity documents for corporations, LLCs, and partnerships. Drafting correspondences and other documents. Significant and recent experience with M&A/corporate due diligence and transaction closing and Delaware and Colorado corporate law matters. Basic knowledge of federal and state securities law (including Form D and blue sky) is strongly encouraged. Technology: Type approximately 60 net words per minute; must be proficient in Microsoft Office (Word, Outlook, Excel, PowerPoint), Adobe Acrobat Pro, Nuance Power PDF, OneDrive, iManage, Aderant, and DocuSign (or similar document management and time entry programs); strive to become proficient in new technology rollouts and willingness to attend trainings when offered. Qualifications; Technical Capacity including, but not limited to, the above-mentioned software, as well as use of computers, telephones, and all other office machines. High school degree or equivalent and a minimum of five to seven years of paralegal experience or equivalent, including EDGAR SEC filing experience. A bachelors degree and five to seven years of paralegal experience is preferred. Paralegal Certificate is needed.
