Lateral Attorney The candidate will work within the Investment Funds practice group, specializing in representation of registered and exempt investment advisers, and private U.S. and offshore investment funds, including clients operating in the United Kingdom and European jurisdictions. Requires Juris Doctor, Master of Law (LL.M.), or foreign equivalent. Requires at least three (3) years of transactional experience working as an Associate (Senior) within the Investments Funds practice group of a global law firm. Prior experience must include: Advising sponsors on the formation of private funds across the major asset classes and all matters pertaining to the fundraising and operation of such funds; Negotiating and drafting offering materials, organizational documents and agreements, including private placement memoranda (PPM) and limited partner agreements (LPA); Advising clients on internal management, co-investment and carried interest arrangements, restructurings, secondary market sales, joint ventures and other investment management matters; Advising clients on matters pertaining to the Investment Company Act of 1940 and the Investment Advisers Act of 1940; Advising clients on the offering of alternative investments in the United Kingdom and European jurisdictions and counseling on offering investments in compliance with the EU Alternative Investment Fund Managers Directive (AIFMD); and Providing guidance on offerings in accordance with EU directives.
