Knowledge Management and Innovation Attorney The candidate would be an integral member of both the Knowledge Management (KM) team and the Technology Transactions Practice (TTG), working closely with other KM & Innovation Attorneys, KM Managers and collaborating with practicing attorneys to facilitate delivery of legal services to the Firms clients. This is a highly self-motivated and client service driven individual, who works closely with Firm leadership in aligning on knowledge management through drafting and updating of forms and exemplars and executing on strategic initiatives of the practice. In coordination with practice area expert attorneys: drafting form agreements, creation of processes for updating and managing standard forms, creating and collecting internal memoranda on practice legal issues and practice process checklists and identifying work product precedents (exemplar documents) in coordination with TTG leadership and subject matter experts. In coordination with the KM Director, initiating and coordinating legal knowledge management projects, databases and systems. Coordinate with the IT Department and other KM team members regarding content management and access systems. Train and assist TTG members in use of the Firms knowledge management tools and information resources; coordinate with peers in other practice areas to exchange best practices in knowledge management resources developed by each area; and monitor/share with TTG members recent, relevant legal developments and current market practice developments and trends. A JD or LLB required. Reporting to the Director of Legal Operations Innovation, the ideal candidate will have 8-10+ years of top tier US or international law firm experience as a Technology Transactions/IP Licensing attorney with emphasis on emerging technology company representation, including some or all of the experience described above, or a minimum 5 years law firm experience and 3+ years of in-house experience as a technology transactions attorney in a multi-lawyer technology company legal department. Should be Highly experienced in MS Office (Word, Outlook, PowerPoint). Knowledge of Inter/Intra/Extranet technologies, particularly for legal-specific uses (portals) is required. Should have extensive experience in intellectual property licensing, drafting and negotiation of commercial agreements in technology transactions including experience in some or all of the following: drafting and negotiating intellectual property licenses (including patent licenses); joint development agreements; collaboration and other strategic alliance agreements; technology licenses and services agreements (including software as a service agreements); distribution agreements, technology transfers, IP aspects of corporate transactions and counseling clients on one or more related legal issues (such as copyright law or privacy, anti-trust or other regulatory issues). Should also be interested in exploring legal innovation for knowledge management, striving to be a thought leader in this area. K?nowledge of HotDocs, ContractExpress or other document assembly applications is needed. Must have exceptional written and verbal communication skills and leadership skills. Conflicts Attorney Duties: Analyze conflict reports, document potential conflict situations, and propose resolutions. Facilitate conflict-clearing process by communicating directly with appropriate attorneys and Firm General Counsel, as needed. Procure waiver letters and engagement letters from appropriate attorneys as deemed necessary in each jurisdiction. Review and analyze terms of engagement and outside counsel guidelines, identifying issues requiring further review for business and/or ethical reasons. Produce written summaries of conflicts issues and document rationale for all final conflict resolutions. Upon confirmation of need, establish ethical walls to screen individuals from particular clients and matters as part of conflict clearing process. Independently manage workload to ensure prompt responsiveness to pending conflicts requests. This responsibility includes to, tracking the status of individual requests and updating Firm attorneys as needed about the status of requests. Analyze prior legal affiliation reports for all new and lateral hires and present results to Firm management. Participate in the training and education of attorneys on Firm policies and procedures relating to the conflict clearing process. Complete other duties and projects as assigned. Qualifications: Bachelor's degree and Juris Doctor degree required.Must be a licensed attorney in good standing in any US state or the District of Columbia.2+ years of conflicts experience in large law firm environment preferred. Computer proficient with advanced skills in all Microsoft Office applications (Word, Excel, Explorer and Outlook) required.Experience with on-line reference materials and Boolean searching techniques also preferred.Knowledge of SQL database, electronic imaging and archiving a plus.
