Lawyer - Ethics & Client Guidelines Attorney Duties: Under the supervision of the Assistant General Counsel for Ethics, and working with General Counsel Office, will be responsible for the collection, review, and negotiation of Outside Counsel Guidelines, client-generated retention documents, and RFPs ( Guidelines ) in collaboration with firm Partners to contribute to prompt client/matter openings and to ensure compliance with lawyers ethical obligations in multiple jurisdictions while protecting the firm from unethical or burdensome provisions and risk. Analyzing the terms of the Guidelines, developing policies and procedures for evaluating them, submitting standardized responses, and managing expectations of Partners and prospective or existing clients in connection with the retention process. Negotiate the client-generated terms of retention with the prospective or existing clients, in collaboration with the responsible Partner and the Assistant General Counsel for Ethics. While the primary focus of this position is to manage the firm s agreement to Outside Counsel Guidelines and the process related thereto, the Ethics & Client Guidelines Attorney is to perform the other conflicts and ethics functions of the Ethics Attorney Group, as needed. Works closely and regularly with the Assistant General Counsel for Ethics and periodically with the other Ethics Attorneys and other departments. Perform all responsibilities with a commitment to providing superior service to the firm s clients, attorneys, advisors and staff, and maintaining an atmosphere of teamwork and continuous improvement. Fulfill the needs of the firm in a manner which is consistent with the Firm's Core Values. Collect in a central repository and review Outside Counsel Guidelines, client-generated retention documents, and RFPs ( Guidelines ) for commercial and legal ethics issues. Develop policies and procedures, in conjunction with the Assistant General Counsel for Ethics, for efficient review of the Guidelines. Communicate with responsible Partner regarding the Guidelines and areas for negotiation; collaborate and liaise with the responsible Partner to negotiate the terms and provide status updates. Communicate and liaise with other departments, including New Business Intake, IT Security, Practice Management, Strategic Pricing, Proposals, Finance, regarding relevant provisions of the Guidelines. Maintain the status of the Guidelines in an internal tracker and ensure compliance with their terms, which may include establishing ethical walls, maintaining form waiver documents, etc. Assist in reviewing non-standard terms to firm engagement letters to ensure consistency with Guidelines. Draft and establish ethical walls, consistent with the Guidelines. Analyze, research, and answer conflicts and legal ethics questions timely and accurately. Develop expertise on commercial and ethical retention terms for Guidelines, as well as ethics rules and body of law, in multiple jurisdictions and approaches in specific practice areas. Maintain and expand knowledge in the substantive fields of commercial contracts, legal ethics, and professional responsibility. Assist with individual or group projects involving legal ethics issues with a focus on Guidelines. Research and communicate orally and in writing answers to the issues posed and recommend resolutions as appropriate. Assist Assistant General Counsel for Ethics as requested. Develop and maintain expertise in department s technologies and all other applications that are necessary. Qualifications: JD degree with 3+ years of experience in a law firm setting. Experience in conflicts clearing and/or ethics preferred; experience in reviewing, negotiating, and drafting commercial contracts preferred. Ability to read, write and speak English. Excellent research, analytical, and communication skills. Superior interpersonal skills, including strong oral communication skills and the ability to communicate potentially detailed and complex information to others and the gravitas and diplomacy to manage differing interests and expectations in connection with the retention process. Superior written communication skills. Proficiency in legal database (Lexis and Westlaw) and internet research, including Hoovers, Dun & Bradstreet, Thomson and other corporate databases. Proficient knowledge of large firm practice areas: financial organizations, private equity firms and other business organizations. Unfailing commitment to confidentiality of firm, department and client information. Demonstrated strong knowledge of MS Office applications including Word, Outlook, Excel and PowerPoint. Ability to learn and utilize specialized conflict checking software and multiple software applications and workflow processes of various departments. Aptitude and willingness to work with complex procedures. Strong organizational skills and attention to detail. Ability to manage multiple priorities and adjust to changing priorities in a professional manner. Ability to work independently and with a team. Ability to work effectively with all levels of personnel in a global market with tact and diplomacy. Willingness and ability to assume new tasks and responsibilities. Excellent judgment and common sense. Strong service orientation, and an ability to establish and maintain effective working relationships with users, peers, office and firm management, and outside business partners. Ability to work well under pressure, facilitate solutions, and meet deadlines and milestones. Ability to work extended hours as necessary to fulfill responsibilities.
