Transactional Business Attorney The candidate will review, analyze, draft, and revise commercial contracts and vendor agreements. Draft franchise disclosure documents and respond to comment letters issued by franchise regulatory authorities. Assist clients with compliance of state franchise regulations. Incorporate business entities, draft governing documents for such entities, and ensure general corporate compliance by utilizing knowledge of contract law, general business law, and corporate law. Represent clients in mergers and acquisitions and draft and negotiate purchase agreements and prepare all other ancillary documents such bill of sale, assignment agreements, lease riders, consent to the transfer, general releases, closing certificates, closing checklists, promissory notes, contribution agreements. Draft legal memos on various issues related to contract law, general business law, corporate law, and franchise law. Research legal issues related to contract law, general business law, corporate law, and franchise law on Westlaw and Practical Law. Attend client meetings and analyze their general commercial issues and advise them on legal strategies to achieve their goals. Respond to client emails regarding their general commercial issues and advise them on legal positions and strategies to achieve their goals. Review work paralegal work product. Participate in networking and client-relationship-building activities. Use document management software such as Prolaw. Present weekly work status during team meetings. Should have a Juris doctor or LLM degree and 3+ years in the field of business or general commercial law at a domestic or international law firm. Must be licensed to practice law in Illinois.
