Corporate Restructuring Attorney Duties: Advise and represent clients with respect to legal implementation of their internal restructuring projects. Provide legal advice regarding corporate group restructurings, including intracompany mergers, liquidations and dissolutions, stock and asset sales and loan transactions, many of which are international. Research corporate laws that could influence corporate legal implementation of a client's business or global structuring strategy. Provide inventive corporate legal solutions that meet the challenges and objectives of our clients most sophisticated business dealings around the globe, from corporate transactions and restructurings, to financial transactions and entity formation. Requirements: Experience in corporate legal matters including corporate mergers, acquisitions, and divestitures; partnerships, LLCs and joint ventures; capitalization; private equity and private equity fund formation; real estate; loan transactions; and general commercial and contract matters. Ability to work full-time, including variable hours that flex with client transaction needs. Exposure and desire to work seamlessly across multiple international cultures. Excellent research, writing and drafting skills. Organizational and project management skills. Excellent communication skills (both oral and written). Must be able to work cooperatively in teams.
