Associate Attorney Duties: Drafting and reviewing offering and closing documents, conducting legal due diligence investigation and drafting due diligence reports, leading conference calls related to IPO and M&A projects. Prepare and submit FINRA filings; collect and process public record and draft legal reports and analysis in corporate field. Analyzing and advising on corporate transactions. Conducting legal research and assisting in administration and communication matters with clients. Conducting legal research on corporate and procedural issues, drafting discovery documents and briefs, reviewing document productions. Manage the intake of clients; review and comment on legal briefs. Qualifications: JD Degree or foreign equivalent, in Law required. 12 months of any legal experience in corporate practices such as M&A or IPO required. Will accept the following coursework in lieu of 12 months of legal experience: Corporate Law, Securities Law, Corporate Finance and Venture Capital Law. Must be admitted as a member of a bar from any US state or territory. Must have the following: Understanding and application of the knowledge of corporate deals (such as IPOs and M&A); Understanding transaction structures that meet both domestic and foreign clients needs; Familiar with Lexbe production software or other similar software for litigation document production upload, search and review. Must be familiar with the application of the Federal Rule of Civil Procedure. Must be familiar with all procedures performed by the underwriter counsel in IPO deals for domestic and foreign clients; knowledge and understanding in dealing with issuers, underwriters, issuer counsel and FINRA. Will accept any suitable combination of education, training, and/or experience.
