Corporate Paralegal Duties: Work with corporate team handling a wide range of tasks including, but not limited to, general corporate transactions: business entity formation, non-profit organization, updating existing corporate records, corporate record maintenance, annual compliance requirements, foreign registrations, dissolutions, Uniform Commercial Code filings and searches and assistance with general corporate and merger and acquisition transactions. Prepare and file all documents necessary for setting up and maintaining a business entity. Formation of limited liability companies, incorporation of for-profit and non-profit corporations, preparation of operating agreements, shareholder agreements, by-laws, authorizing resolutions, foreign registrations and dissolutions. Assist with and draft necessary documents for general corporate and mergers and acquisitions transactions. Perform Uniform Commercial Code searches, prepare summary of search results, and prepare and file Uniform Commercial Code financing statements, amendments and other necessary documents. Prepare and file annual compliance documents including, annual reports, annual consent resolutions and other required compliance matters. Communicate closely with clients and assist responsible attorney in evaluating and analyzing needs related to corporate governance and the client s business structure. Assist with corporate legal research and keep current on all laws, regulations, forms and procedures to ensure compliance.
Requirements: Undergraduate degree and 3+ years experience working as a legal assistant, or a high school diploma plus formal and extensive training as a paralegal, including paralegal certification. 2-3 years experience working in the corporate law department of a small to midsize law firm. Thorough knowledge of state laws and regulations relating to corporate law governance and procedures. Familiarity with all forms of business entities including Subchapter S corporations, limited liability companies, professional corporations and professional limited liability companies, non-profit organizations and partnerships.
