Technology Attorney: Startups + Emerging Growth Companies Duties: Counseling startups and early stage companies with respect to corporate structure, draft corporate documentation and handle related corporate matters. Review, draft and negotiate technology agreements, such as SaaS, terms of use, development agreements, licensing agreements and IT infrastructure agreements, and provide related advice. Review, draft and negotiate documents and provide legal counsel on human resource-related matters. Review, draft and negotiate documents and provide legal counsel on fundraising matters. Review, draft and negotiate various commercial contracts. Assist client with protecting its intellectual property and brand. Develop and maintain strong relationships with potential and existing clients. Provide exceptional customer service. Qualifications: The candidate must be licensed in Illinois, Colorado or California. A book of business, or proven track record of building a book of business, is a plus. 3+ years experience working with startups + emerging growth companies. Experience counseling startup and emerging growth companies, securities experience a plus. A proven ability to handle confidential information with discretion. A proven ability to handle complex matters, with multiple initiatives going on simultaneously. Entrepreneurial, business minded and enjoys working in a fast-paced environment. Detail-oriented, organized, proactive and has strong communication skills. A self-starter and loves the freedom to work independently and remotely, but has the self-discipline to stay focused on the greater goals of the law firm. Strong interpersonal skills and the ability to develop lasting business relationships. Consistently drives for excellence and pushes own limits. Exceptional work ethic and drive.
